Terms of Service

Please read these Terms of Service ("Terms") carefully before using the FNF Inventory application and website (the "Service") operated by FNF ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

FNF Inventory is a sneaker inventory management application that allows users to:

• Scan shoe box labels to automatically add sneakers to their inventory
• Track market values and retail prices
• Organize inventory across multiple locations
• Share inventory with others via public links

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You may register using email/password, Google account, or Discord account.
• You are responsible for maintaining the security of your account and password.
• You must notify us immediately of any unauthorized access to your account.
• You may not use another person's account without permission.
• You must be at least 13 years old to use the Service.

4. Subscription and Payments

4.1 Free Trial

New users are eligible for a 14-day free trial of the Pro subscription. Each user is entitled to one free trial per account. No credit card is required to start the trial.

4.2 Subscription Plans

After your trial ends, you must subscribe to continue using the Service. We offer:

• Monthly Plan: $5 per month, billed monthly
• Annual Plan: $49 per year, billed annually

4.3 AI Add-on

The FNF Managed AI Keys add-on ($9.99/month) provides access to our managed API keys for AI scanning and price lookups. New users are eligible for a 1-day free trial of this add-on. This is optional; users may alternatively use their own API keys at no additional cost.

4.4 Billing

• Payments are processed by Stripe.
• Subscriptions automatically renew unless cancelled.
• You may cancel your subscription at any time through the billing portal.
• No refunds are provided for partial billing periods.

4.5 Price Changes

We reserve the right to modify pricing. Any price changes will be communicated in advance and will apply to the next billing cycle.

5. User Conduct

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other malicious code
• Scrape, crawl, or use automated means to access the Service
• Resell or redistribute the Service without authorization
• Use the Service to infringe on intellectual property rights
• Share your account credentials with others

6. User Content

• You retain ownership of all content you upload to the Service (inventory data, images, etc.).
• You grant us a license to use, store, and display your content as necessary to provide the Service.
• You are responsible for ensuring you have the right to upload any content.
• We may remove content that violates these Terms.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by FNF and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

8. Third-Party Services

The Service integrates with third-party services including:

• Firebase (Google) for authentication and storage
• Stripe for payment processing
• Google for OAuth authentication
• Discord for OAuth authentication
• Google Gemini API for image recognition
• Kicks.dev for product data and market pricing
• StockX for market pricing information

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or accuracy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Accuracy of market values or pricing information
• Uninterrupted or error-free operation
• Fitness for a particular purpose
• Non-infringement of third-party rights

Market values and pricing information are provided for informational purposes only and should not be relied upon for buying or selling decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FNF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruption or computer damage
• Cost of substitute services

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless FNF and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

• You may terminate your account at any time by canceling your subscription and deleting your account through the app settings.
• We may suspend or terminate your account for violation of these Terms.
• Upon termination, your right to use the Service ceases immediately.
• We may retain certain information as required by law or for legitimate business purposes.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FNF regarding the Service.
